Jyothy Labs: Approves 1,46,141 Stock Units for Employees

Jyothy Labs Limited has announced the approval of 1,46,141 Restricted Stock Units (RSUs) under its Employee Stock Unit Plan 2023. On September 4, 2026, the Nomination, Remuneration and Compensation Committee (NRCC) of the company sanctioned the grant of 1,46,141 Restricted Stock Units (RSUs). These RSUs are part of the Jyothy Labs Limited-Employee Stock Unit Plan 2023, specifically identified as Grant-5 for September 2026.

Details of the Grant

Each of the approved RSUs is exercisable into one equity share of the company, each with a face value of Re. 1/-, fully paid-up. The NRCC has approved the grant for selected employees as determined by the committee, adhering to the terms outlined in the RSU Plan 2023. The Board of Directors and Shareholders of Jyothy Labs Limited had previously approved the RSU Plan 2023 on June 9, 2023 and July 25, 2023, respectively.

Vesting and Exercise Terms

The RSUs will vest after a minimum period of one year, but not later than four years from the date of grant, subject to the fulfillment of performance conditions. Vested RSUs can be exercised within a period of two years from the date of vesting, provided the employee remains in employment. The exercise price is set at the face value of the company’s equity shares on the date of exercise, which is Re. 1 per RSU. The plan is implemented through a fresh issue of equity shares.

The company has confirmed that this scheme is in terms of the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021. The details provided comply with the disclosure requirements as per Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
