Orient Beverages Limited will hold its 65th Annual General Meeting (AGM) on Tuesday, September 29, 2026, at 11:00 AM IST. The meeting will be conducted through Video Conferencing (VC) or Other Audio Visual Means (OAVM). The registered office at “Aelpe Court”, 3rd Floor, 225C, A. J. C. Bose Road, Kolkata, will be considered the venue for the meeting.

The AGM will transact the following businesses:
Ordinary Business:
- To receive, consider, and adopt the audited standalone and consolidated financial statements for the financial year ended March 31, 2026, along with the Directors’ and Auditors’ reports.
- To appoint a Director in place of Sri Ballabha Das Mundhra, who retires by rotation and is eligible for re-appointment.
Special Business:
- To consider and pass an Ordinary Resolution for the appointment of Sri Raj Kumar Singh as an Independent Director for a term of 5 consecutive years, effective from April 22, 2026.
- To consider and pass a Special Resolution for increasing the company’s borrowing limits to Rs. 2,00,00,00,000/- (Rupees Two hundred crore only) outstanding at any one time.
- To consider and pass a Special Resolution for creating or modifying mortgages, charges, hypothecations, or other encumbrances on the company’s assets to secure borrowings, up to a maximum of Rs. 200 crore outstanding at any point of time.
- To consider and pass Special Resolutions for providing loan/financial assistance, guarantee, or security to M/s PAMS Beverages Pvt. Ltd. (up to Rs. 10,00,00,000/-) and M/s Satyanarayan Rice Mill Pvt. Ltd. (up to Rs. 15,00,00,000/-), in which directors are interested.
- To consider and pass an Ordinary Resolution for the appointment of M/s Manoj Shaw & Co. as Secretarial Auditors for a term of up to 5 consecutive years, from FY 2026-27 to FY 2030-31.
The Register of Members and Share Transfer Books of the Company will remain closed from Wednesday, September 23, 2026, to Tuesday, September 29, 2026 (both days inclusive) for the purpose of the AGM.
