Key Appointments and Re-appointments
The Board approved the re-appointment of Mrs. R. Gomathi as Managing Director for a term of three consecutive years, from November 11, 2026, to November 10, 2029. During her tenure, she will not be liable to retire by rotation. Her consolidated salary will be ₹1,00,000/- per month, subject to shareholder approval via Special Resolution due to her age.
Furthermore, the board recommended the re-appointment of Mr. Edward M. Prabhakar as a Non-Executive Director, who is retiring by rotation, for shareholder approval at the ensuing Annual General Meeting (AGM). The re-appointment is proposed under an Ordinary Resolution.
Director Designation Changes
In a significant governance update, the Board approved the re-designation of Mr. A. F. Simeon Telfer and Ms. Sindu Chawla. A fixed professional consultancy fee of ₹3,00,000/- per month, along with a variable surgical/procedure fee of up to ₹5,00,000/- per month, totaling up to ₹8,00,000/- per month (₹96,00,000/- per annum), has been approved for FY 2026-27 for Dr. Thanigai Vendan Moorthy. This is on an arm’s length basis and separate from his executive remuneration.
Board Committees Reconstituted
Following the director re-designations, the Board of Directors approved the reconstitution of the Audit Committee, Nomination and Remuneration Committee, and Stakeholders’ Relationship Committee, effective September 1, 2026. Revised compositions for these committees have been detailed.
Upcoming 36th AGM Announced
The company also announced the date for its 36th Annual General Meeting (AGM), which will be held on Wednesday, September 30, 2026, at 11:00 AM IST, via Video Conferencing. The book closure period for the AGM will be from Thursday, September 24, 2026, to Wednesday, September 30, 2026, inclusive. The Notice of the 36th AGM has been approved.
