PVR INOX Approves ₹300 Crore Share Buyback

PVR INOX Limited’s board of directors has approved a share buyback program, authorizing the repurchase of up to 2,06,89,65 (20.69 Lakh) equity shares. The buyback, set at a price of INR 1,450 per share, will have a total value not exceeding INR 300 crore. This move signifies the company’s commitment to returning value to shareholders and optimizing its capital structure. The buyback will be conducted through the tender offer route.

PVR INOX Board Sanctions Share Buyback

The board of directors of PVR INOX Limited, in a meeting held on August 31, 2026, has given its approval for a significant share buyback initiative. The company plans to repurchase up to 2,06,89,65 (Twenty Lakh Sixty-Eight Thousand Nine Hundred Sixty-Five) fully paid-up equity shares. Each share will be bought back at a price of INR 1,450 (Indian Rupees One Thousand Four Hundred and Fifty). This buyback is slated to be completed through the tender offer mechanism on a proportionate basis, as per the Securities and Exchange Board of India (Buy-Back of Securities) Regulations, 2018.

Financial Details of Buyback

The aggregate amount approved for the buyback, referred to as the “Buyback Size”, will not exceed INR 300,00,00,000/- (Indian Rupees Three Hundred Crores only). This amount represents approximately 4.09% and 4.07% of the Company’s fully paid-up Equity Share capital and free reserves, respectively, based on the latest audited financial statements for the year ended March 31, 2026. The buyback aims to enhance shareholder value and efficiently manage the company’s capital.

Buyback Committee and Record Date

To manage the buyback process effectively, PVR INOX has constituted a committee specifically for this purpose. Additionally, Murlee Manohar Jain has been appointed as the compliance officer for the buyback. The company has fixed Friday, September 4, 2026, as the Record Date for determining the eligibility of shareholders to participate in the buyback. DAM Capital Advisors Limited has been appointed as the Manager to the Buyback.

Promoter Participation

The board also noted the intention of the promoter and members of the promoter group to participate in the proposed buyback. This participation is expected to contribute to the overall success of the buyback program.
