Program Details and Mechanism

The buyback will be executed through the open market route, utilizing the electronic trading facilities of the Stock Exchanges. The maximum buyback price is capped at INR 1,530/- per Equity Share. The company anticipates repurchasing approximately 58,82,352 Equity Shares, which represents about 4.12% of its total paid-up equity share capital as of March 31, 2026.

The buyback period is set to commence from the date of the Board’s resolution approving the buyback, which was August 27, 2026. Funds for the buyback will be drawn from the company’s free reserves and securities premium account, adhering to regulatory guidelines. The program is expected to close within 66 working days from its opening date, with an option for earlier closure if 75% of the maximum buyback size is utilized.

Financial Prudence and Outlook

The Board of Directors has confirmed that the company is capable of meeting its liabilities and will not be rendered insolvent within a year following the approval date. This buyback is part of the company’s strategy to optimize its capital structure and return value to its shareholders, while maintaining compliance with all applicable regulations.

The public announcement for the buyback was made on August 29, 2026. The buyback period will commence from the date of the Board resolution approving the buyback (August 27, 2026) and will conclude within 66 working days from the opening of the buyback offer, or by December 11, 2026, whichever is earlier. All necessary formalities, including the extinguishment of repurchased shares, will be completed within the stipulated timelines.
