Tata Chemicals: Acquires North American Contracts Worth Over USD 110 Million

Tata Chemicals Limited announced its subsidiary, Tata Chemicals North America Inc. (TCNA), has been declared the successful bidder in the Chapter 11 bankruptcy proceedings of Searles Valley Minerals Inc. (SVM). TCNA will acquire North American soda ash customer contracts expected to generate over USD 110 million in revenue through December 2028, servicing more than 500,000 metric tonnes annually.

Strategic Acquisition to Boost North American Presence

Tata Chemicals Limited (“TCL”) has announced a significant development in its North American operations. Its wholly owned subsidiary, Tata Chemicals North America Inc. (“TCNA”), has successfully emerged as the winning bidder in the Chapter 11 bankruptcy proceedings of Searles Valley Minerals Inc. (SVM), USA. This strategic move involves the acquisition of valuable North American soda ash customer contracts.

Key Contract Details and Financial Impact

The acquired contracts represent an annual volume of over 500,000 metric tonnes of soda ash, set to be serviced from September 2026 through December 2028. These agreements are projected to generate substantial revenues, estimated at more than USD 110 million over the contract period. The transaction was formalized through an Assignment and Assumption Agreement (ASA) and has received approval from the United States Bankruptcy Court for the District of Delaware.

Strengthening Market Position

This acquisition is poised to considerably strengthen TCNA’s standing in the North American soda ash market. By expanding its domestic customer base and enhancing long-term relationships, the company aims to improve demand visibility, bolster customer retention, and foster sustainable value creation. The deal involves a cash consideration payment of USD 21.16 million and is subject to customary closing conditions.
