Key Agenda Items
The AGM will cover ordinary business, including the consideration and adoption of the Audited Standalone and Consolidated Financial Statements for the financial year ended March 31, 2026, along with the reports of the Board of Directors and Auditors. The Board also recommended a dividend of ` 1/- per Equity Share (20% of face value).
Leadership Transition
In a significant move for corporate governance and strategic succession planning, the company announced that Shri Suyog K. Kotecha will assume the role of Managing Director and CEO, effective October 1, 2026, for a period of five years. This transition will see promoter executive directors, Shri Rajendra V. Gogri, Shri Rashesh C. Gogri, and Shri Renil R. Gogri, transition to Non-Executive Director roles, continuing to provide strategic oversight and leveraging their extensive industry expertise.
The company further stated that Shri Rashesh C. Gogri will continue to act as Chairman of the Company, while Shri Rashesh C. Gogri and Shri Renil R. Gogri will serve as Vice Chairmen and Executive Directors in their non-executive capacities. This leadership evolution is aimed at embedding a professional management-led operating model while retaining the valuable strategic guidance of the promoter directors.
Appointment of Directors and Remuneration
The AGM agenda also includes the re-appointment of Shri Ajay Kumar Gupta and Shri Suyog K. Kotecha as Directors liable to retire by rotation. Additionally, shareholders will be asked to approve the payment of profit-related commission to Non-Executive Directors and the remuneration of Cost Auditors for FY 2026-27.
