Board Approves Subsidiary Transfer
Waaree Renewable Technologies Limited disclosed that its Board of Directors, during a meeting held on August 27, 2026, approved the transfer of the company’s entire shareholding in its wholly-owned subsidiary, Waaree Green Data Centers Private Limited (formerly known as Sunsantional Energy Private Limited), to its holding company, Waaree Energies Limited. The Board also approved the company’s report and annexures for the Financial Year 2025-26, and the notice for the 27th Annual General Meeting scheduled for September 23, 2026.
Transaction Details
The consideration for the transfer of the subsidiary is ₹1,00,000, with the shares being sold at a face value of ₹10 per share. The agreement for this sale is expected to be entered into on or before October 31, 2026, with the completion of the sale/disposal anticipated on the same date. Waaree Green Data Centers Private Limited is noted to have not contributed materially to the turnover, revenue, income, or net worth of Waaree Renewable Technologies Limited during the Financial Year 2025-26.
Related Party Transaction
The transaction falls within the ambit of related party transactions, as the buyer is the holding company, Waaree Energies Limited, which is also the promoter of Waaree Renewable Technologies Limited. The company has affirmed that the transaction is being undertaken on an arm’s length basis and in the ordinary course of business.
