  • Buyback Amount: The aggregate amount for the buyback will not exceed ₹900,00,00,000/- (Indian Rupees Nine Hundred Crores only).
  • Maximum Buyback Price: Equity shares will be purchased at a price not exceeding ₹1,530/- (Indian Rupees One Thousand Five Hundred and Thirty only) per share.
  • Route: The buyback will be executed through the “open market” route, utilizing stock exchange mechanisms.
  • Eligible Shareholders: The buyback is open to all shareholders and beneficial owners, excluding promoters and persons belonging to the promoter group.
  • Indicative Shares: At the maximum buyback price and size, the company may repurchase up to 58,82,352 Equity Shares, representing approximately 4.12% of its total paid-up equity share capital as of August 27, 2026. This is less than the 25% limit for buybacks.
  • Minimum Utilization: The company will utilize at least 75% of the maximum buyback size, equating to a minimum of ₹675 crore, to purchase an indicative minimum of 44,11,764 Equity Shares.

Regulatory Compliance and Future Steps

The buyback will be conducted in accordance with the Securities and Exchange Board of India (Buy-Back of Securities) Regulations, 2018, and other applicable laws. The maximum buyback size represents 7.19% and 6.34% of the aggregate of the Company’s fully paid-up equity share capital and free reserves as per the latest audited standalone and consolidated financial statements as of March 31, 2026. Shareholding Pattern Insights

The pre-buyback shareholding pattern as of August 21, 2026, shows the Promoter and Promoter Group holding 30.07% of the equity shares, while public shareholders collectively hold 69.93%.
