Kanishk Aluminium India: Approves New Subsidiary Incorporation

Kanishk Aluminium India Limited has announced that its Board of Directors approved the incorporation of a new subsidiary. This proposed entity, tentatively named “Falcon Global Business Limited,” will be primarily engaged in the trading of electronic and IT equipment, along with metal trading. Kanishk Aluminium India will hold a 70% stake in the subsidiary, with an investment of up to ₹25,00,000.

Board Approves Subsidiary Formation

The Board of Directors of Kanishk Aluminium India Limited, formerly known as Kanishk Aluminium India Private Limited, met on August 27, 2026, and approved the incorporation of a new subsidiary. This strategic move aims to expand the company’s business horizons into new sectors.

Details of the Proposed Subsidiary

The new entity is proposed to be incorporated under the name “Falcon Global Business Limited” or any other name approved by the Ministry of Corporate Affairs. The subsidiary will be primarily engaged in the trading of electronic and IT equipment, including desktops, laptops, and related items, as well as trading of metal.

Investment and Shareholding

Kanishk Aluminium India Limited will be the holding company for this proposed entity, making it a subsidiary of the listed company. The company proposes to invest a sum not exceeding ₹25,00,000 (Indian Rupees Twenty-Five Lakhs) in one or more tranches. The subscription price for shares will be ₹10 per share. Kanishk Aluminium India Limited will hold 70% of the shareholding in the new subsidiary.

Annual Report and AGM Notice Approved

In addition to the subsidiary approval, the Board also approved the Annual Report for the financial year ended March 31, 2026. The approval also included the Notice convening the 8th Annual General Meeting of the Company, scheduled for Friday, September 25, 2026. The company’s register of members and share transfer books will remain closed from September 21, 2026, to September 24, 2026, inclusive, for the purpose of the AGM.
