NHC Foods: Management to Increase Stake Via ₹53.76 Crore Preferential Issue

NHC Foods Limited’s Board has approved a preferential issue of up to 25.60 crore convertible warrants at ₹2.10 per warrant, aggregating ₹53.76 crore. A significant portion, 14 crore warrants, is proposed for Satyam S Joshi HUF, reflecting increased management financial participation and potentially an 11.67% stake upon full conversion. This move aims to support the company’s growth plans and follows recent capital strengthening initiatives.

NHC Foods Approves Preferential Issue for Growth

NHC Foods Limited has announced its Board’s approval for a preferential issue valued at ₹53.76 crore. The company plans to issue up to 25.60 crore convertible warrants at an issue price of ₹2.10 per warrant. This strategic financial move is designed to strengthen the company’s capital base and support its future growth initiatives.

Management Increases Financial Commitment

A key highlight of this preferential issue is the proposed allocation of 14 crore warrants to Satyam S Joshi HUF. This represents the largest allocation under the issue and signifies a substantial increase in management’s financial commitment to NHC Foods. Upon full conversion of these warrants, it is estimated that Satyam S Joshi HUF could hold an 11.67% stake in the company. This increased participation from management underscores their confidence in the company’s future prospects and growth trajectory.

Strengthening Capital Base

This preferential issue follows recent actions to bolster NHC Foods’ capital structure, including the conversion of 19 FCCBs (Foreign Currency Convertible Bonds) into 18.18 crore equity shares. The warrants will have a 1:1 conversion ratio, meaning each warrant can be converted into one equity share within 18 months of allotment. Investors are required to pay 25% of the issue price upfront, with the remaining 75% due at the time of conversion. The proposed issue is contingent upon shareholder approval at the upcoming Annual General Meeting scheduled for September 23, 2026.

Commenting on the development, Mr. Satyam Shirishchandra Joshi, Managing Director of NHC Foods Limited, stated that the proposed investment reflects management’s commitment to building scale and creating value for stakeholders. This initiative comes on the back of a strong performance in Q1 FY27, with NHC Foods reporting a 924% year-over-year increase in consolidated net profit, driven by robust revenue growth and higher volumes. The company is focused on leveraging its deep expertise in agricultural commodities to pursue its next phase of growth.
