Deutsche Bank AG, Mumbai Branch, in its capacity as the onshore security agent for lenders, has announced the re-creation of a pledge over 98,400,000 equity shares of Piramal Pharma Limited. This represents 7.39% of the total issued and paid-up share capital, calculated on a fully diluted basis, and 7.43% of the total voting capital.
Increased Encumbrance
Following this re-creation of pledge, the total number of Piramal Pharma shares now held under pledge by Deutsche Bank AG as the onshore security agent amounts to 238,663,700 shares. This significant holding constitutes 17.93% of the total issued and paid-up share capital (on a fully diluted basis) and 18.01% of the total voting capital of the Target Company. The encumbrance is in favour of the security agent for the benefit of the lenders under a facility agreement related to CA Alchemy Investments.
Disclosure Context
This disclosure is made under Regulation 29(2) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. It follows previous disclosures dated 30 May 2024 and 17 August 2026. Deutsche Bank clarified that it does not hold any beneficial interest in the pledged shares, acting solely as a pledgee.
