Valor Estate: Promoter Group Releases 1.09 Cr Shares from Pledge

Valor Estate Limited (formerly D B Realty Limited) has announced the release of 1,09,05,303 equity shares previously pledged by its promoter group. These shares were held as security for a facility extended by HDFC Limited to a subsidiary of the company. The release follows the full repayment of the said facility by the borrower, signifying a reduction in promoter encumbrance and improved financial standing.

Valor Estate Limited: Promoter Encumbrance Reduced

Valor Estate Limited, formerly known as D B Realty Limited, has formally disclosed the release of a significant number of its equity shares from pledge. A total of 1,09,05,303 equity shares, constituting 2.01% of the total share capital, have been unfettered. This development is a direct result of the complete repayment of a financial facility that was sanctioned by HDFC Limited to MIG (Bandra) Realtors & Builders Pvt. Ltd., a wholly-owned subsidiary of Valor Estate Limited.

Details of Share Release

The shares were originally pledged in favour of IDBI Trusteeship Services Limited, acting as a Share Pledge Trustee on behalf of HDFC Limited. The release event, dated August 19, 2026, marks a substantial reduction in the promoter group’s pledged holdings. As of the reporting date, August 26, 2026, the promoter group, represented by Aseela Vinod Goenka, now holds 1,61,04,769 shares, with no shares remaining under encumbrance. This move indicates a healthier financial structure and potentially increased liquidity for the promoter group.

It is also noted that Ms. Sanjana Goenka had also pledged 2,17,00,000 shares for the same financial facility, and these shares were also fully released concurrently. This comprehensive release of pledged shares underscores the successful conclusion of the financial obligation and enhances the transparency surrounding the promoter’s shareholding in Valor Estate Limited.
