TeamLease Services: Board Approves New Employee Stock Option Plan

TeamLease Services Limited announced that its Board of Directors, following a recommendation from the Nomination and Remuneration Committee, has approved the formulation and implementation of a new employee stock option plan. Titled the “TeamLease Services Limited Employee Stock Options and Restricted Stock Units Scheme 2026” (ESOS 2026), the plan requires shareholder and regulatory approvals. It proposes a pool of 1,79,515 options and 76,935 RSUs, convertible into equity shares of face value ₹10 each.

New Employee Stock Option Scheme Approved

The Board of Directors of TeamLease Services Limited met on August 25, 2026, and approved the creation of a new employee stock option and restricted stock unit scheme. This initiative, named the “TeamLease Services Limited Employee Stock Options and Restricted Stock Units Scheme 2026” (ESOS 2026), is designed to align employee interests with company performance.

Scheme Details and Approvals

The ESOS 2026 proposes a pool of 1,79,515 employee stock options and 76,935 restricted stock units (RSUs). Each option or RSU will be convertible into one fully paid-up equity share of the Company with a face value of ₹10. The scheme’s implementation is subject to the necessary approvals from the Company’s shareholders and relevant regulatory bodies.

Pricing Formula and Compliance

The pricing formula for the options will be determined by the Committee, allowing for a maximum discount of up to 40% on the market price of the equity share on the grant date. For RSUs, the exercise price will be equal to the face value of the equity share on the grant date, with the exercise price never being less than the face value. The scheme is in compliance with the Securities and Exchange Board of India (Share Based Employee Benefits and Sweat Equity) Regulations, 2021.

Disclosure Requirements

Further details regarding the scheme, including the total number of shares covered, which amounts to 2,56,450 equity shares, have been disclosed as per SEBI LODR Regulations, 2015, and relevant circulars. Information on vesting and exercise periods will be made available as the scheme progresses.
