This contrasts with a loss of ₹4.87 lakh in the previous financial year. Revenue from operations stood at ₹244.34 lakh for the current fiscal year, up from ₹63.19 lakh in the prior year.

Key Corporate Actions

The company is proposing to appoint M/s. SDK & Associates, Practicing Company Secretaries, as its Secretarial Auditors for a period of five financial years, from 2026-2027 to 2030-2031. Shareholders will vote on this ordinary resolution during the upcoming Annual General Meeting (AGM).

Further, the agenda for the AGM includes a special resolution to approve a variation in the objects of the preferential issue and the utilization of its proceeds. This involves a strategic investment in M/s. Infuze Well Private Limited, which is expected to result in Prism Medico and Pharmacy Limited acquiring a controlling stake and making Infuze Well Private Limited a subsidiary.

The Board also recommended resolutions for approving the investment of funds in the securities of M/s. Infuze Well Private Limited, a material related party transaction, and other related party transactions, all subject to shareholder approval.

Director Re-appointment

Mr. Davender Singh, who retires by rotation, is offering himself for re-appointment as a Director at the ensuing AGM.
