JSW Infrastructure Limited announced today, 22nd August 2026, the execution of a Share Purchase Agreement (SPA) for the acquisition of 100% of the share capital of its subsidiary, JSW Overseas FZE. The shares are being acquired from JSW Terminal (Middle East) FZE, another entity within the JSW group. This transaction is a significant step towards consolidating ownership and enhancing operational synergy within the company’s global portfolio.

Strategic Implications of the Acquisition

Upon the successful completion of this transaction, JSW Overseas FZE will transition from being a step-down wholly owned subsidiary to becoming a direct wholly owned subsidiary of JSW Infrastructure Limited. This structural change is expected to streamline management, reporting, and financial oversight. The acquisition is subject to the receipt of all necessary approvals required under the applicable laws of India and the UAE.
