Aster DM Healthcare: Promoter BCP Asia II Pledges 28.56% Stake for ₹4,776 Crore Loan

BCP Asia II Topco IV Pte. Ltd., a promoter of Aster DM Quality Care Limited (formerly Aster DM Healthcare Limited), has created an encumbrance over 24,89,52,574 equity shares, representing 28.56% of the company’s total shares. This action, effective from August 19, 2026, is in connection with a facility agreement for a term loan of up to USD 750,000,000 (approximately INR 71,810,775,000). The encumbrance covers 100% of the promoter’s shareholding.

Promoter Encumbers Significant Shareholding

BCP Asia II Topco IV Pte. Ltd., a promoter of Aster DM Quality Care Limited (formerly Aster DM Healthcare Limited), has announced the creation of an encumbrance on a substantial portion of its shareholding in the company. This disclosure, made on August 21, 2026, under Regulation 31(1) of the SAST Regulations, pertains to a first-ranking exclusive pledge and other conditions of encumbrance.

Facility Agreement and Loan Details

The encumbrance was created pursuant to a facility agreement dated August 19, 2026. Under this agreement, BCP Asia II Topco IV Pte. Ltd. has availed term loan facilities amounting up to USD 750,000,000. This facility is equivalent to approximately INR 71,810,775,000, based on the exchange rate of US$1 to INR 95.7477 as of August 19, 2026. The loan is intended for purposes including the payment of dividends and distributions to the borrower’s shareholders, and indirectly refinancing existing indebtedness.

Shares Pledged and Percentage

A total of 24,89,52,574 equity shares of Aster DM Quality Care Limited have been pledged. This represents 28.56% of the total equity shares of the company. The encumbrance covers 100% of the promoter’s shareholding in the Target Company.

Security and Involved Parties

The pledge agreement, governed by Indian law, was executed on August 19, 2026, in favour of Axis Trustee Services Limited, acting as the Onshore Security Agent, for the benefit of the Lenders. Additional conditions of encumbrance under the Facility Agreement are in favour of Deutsche Bank AG, Singapore Branch (as Agent) and DB International Trust (Singapore) Limited (as Offshore Security Agent). The Lenders identified include Barclays Bank Plc, Crédit Agricole Corporate and Investment Bank, Citibank, N.A., Deutsche Bank AG, ING Bank N.V., J.P. Morgan Securities Plc, Morgan Stanley Bank, N.A., MUFG Bank, Ltd., and The Hongkong and Shanghai Banking Corporation Limited.

Valuation of Encumbered Shares

The value of the shares over which the direct pledge has been created, based on the closing price on the NSE as of August 19, 2026, is estimated at INR 199,211,849,714.80.
