Zee Entertainment Enterprises Limited has completed a preferential allotment of 20,94,47,805 fully convertible warrants to its promoter group entity, Sunbright Mauritius Investments Limited. The warrants were issued at a price of ₹126/- per warrant, with 25% of the amount already received. These warrants are convertible into equity shares within 18 months, potentially increasing the promoter’s stake and strengthening the company’s financial resources.

Preferential Allotment of Warrants

Zee Entertainment Enterprises Limited announced today, August 21, 2026, the allotment of 20,94,47,805 fully convertible warrants. This allotment was made on a preferential basis to Sunbright Mauritius Investments Limited, an entity belonging to the promoter group. The warrants were issued at a total price of ₹126/- per warrant, inclusive of both subscription and exercise price components.

Financial and Conversion Details

The company has received 25% of the total warrant issue price, amounting to ₹31.5/- per warrant, aggregating to ₹659,76,05,857.50/-. The remaining 75% of the warrant exercise price, which is ₹94.5/- per warrant, is payable by the allottee within 18 months from the allotment date. Upon full payment, each warrant will be converted into one fully paid-up equity share of the company with a face value of ₹1/- each.

Shareholding Impact

This allotment does not immediately change the company’s paid-up share capital. However, upon conversion, the shareholding of Sunbright Mauritius Investments Limited will increase. Post-conversion, the promoter group is projected to hold 17.90% of the company’s fully diluted equity shares, based on the assumption that all currently outstanding convertible warrants will be converted.
