Strategic Objectives and Structure

The primary objective behind establishing UHG Holdings IFSC Private Limited is to enhance and expand UltraTech Cement’s business operations and its overall operational network. The company will operate under the regulations governing the IFSC, including the International Financial Services Centres Authority Act, 2019.

UHG Holdings IFSC Private Limited has been jointly incorporated by UltraTech Cement Limited, Hindalco Industries Limited (a promoter group company), and Grasim Industries Limited (a promoter company). This collaborative structure underscores a strategic alignment among key group entities to leverage the benefits of the IFSC framework. Consequently, UHG Holdings now represents a related party to UltraTech Cement.

Operational Scope and Future Outlook

The newly incorporated entity is poised to engage in a range of activities within the IFSC jurisdiction, including the purchase, lease, charter, hire, and operation of aircraft, ships, ocean vessels, and other modes of transportation. The initial shareholding in UHG Holdings IFSC Private Limited is distributed as follows:

  • UltraTech Cement Limited: 41,000 shares, constituting 41% shareholding, with a consideration of INR 4,10,000.
  • Hindalco Industries Limited: 50,000 shares, constituting 50% shareholding, with a consideration of INR 5,00,000.
  • Grasim Industries Limited: 9,000 shares, constituting 9% shareholding, with a consideration of INR 90,000.
