Home First Finance: Approves ₹15,000 Crore NCD Issuance

Home First Finance Company India Limited has announced the approval for the issuance of up to 15,000 (fifteen thousand) non-convertible debentures (NCDs). These NCDs will have a face value of INR 1,00,000 (One Lakh) each, aggregating to a total nominal value of INR 150,00,00,000 (One Hundred and Fifty Crore). The issuance, proposed on a private placement basis, aims to raise funds via cash at par and is scheduled for allotment on August 28, 2026.

Home First Finance Secures Major Funding Via NCDs

Home First Finance Company India Limited has received board approval for a significant fundraising initiative through the issuance of Non-Convertible Debentures (NCDs). The Committee of Directors and Review Committee, in a meeting held on Friday, August 21, 2026, greenlit the plan to issue up to 15,000 senior, secured, rated, listed, taxable, redeemable, transferable NCDs.

Issue Details and Size

Each debenture will carry a face value of INR 1,00,000 (Indian Rupees One Lakh). The aggregate nominal value for this issuance amounts to INR 150,00,00,000 (Indian Rupees One Hundred and Fifty Crore). These NCDs will be issued on a private placement basis, in dematerialized form, to identified investors. The approval aligns with the company’s board resolution dated May 6, 2026, and the members’ approvals.

Listing and Maturity

The proposed NCDs are intended to be listed on the wholesale debt market segment of BSE Limited. The issuance is being undertaken in accordance with the Companies Act, 2013, and relevant SEBI regulations. The tenure of the instrument is proposed to be 59 months and 25 days from the deemed date of allotment, with a proposed allotment date of August 28, 2026, and a final redemption date of August 22, 2031.

Interest and Security

The interest rate on these NCDs will be determined by the prevailing 3-month overnight indexed swap (OIS) based lending rate, derived from the Mumbai interbank outright rate (MIBOR), plus a spread. Interest payments are scheduled quarterly. The debentures will be secured on or prior to the allotment date through a first-ranking pari passu charge over the company’s receivables and other agreed-upon security interests.
