NCL Research & Financial Services Limited has approved a proposed Rights Issue to raise capital. Board Approves Capital Infusion Through Rights Issue

NCL Research & Financial Services Limited announced today that its Board of Directors has approved a significant Rights Issue aimed at raising capital. The proposal, considered and approved at a board meeting held on August 21, 2026, involves the issuance of fully paid-up Rights Equity Shares of the company, each with a face value of ₹1.

Issue Size and Share Details

The total size of the Rights Issue has been fixed at ₹4,994.86 Lakhs (approximately ₹500 crore). This will translate into the issuance of 49,94,86,400 Equity Shares, with each share priced at ₹1. Notably, this issue price includes a premium of Nil.

Shareholder Entitlements and Record Date

The Rights Issue will offer an entitlement ratio of 7 new Equity Shares for every 15 existing shares held by eligible shareholders. The company has set Monday, August 24, 2026, as the record date to determine the eligibility of shareholders to apply for the issue. The full amount for the application has to be paid on the day of application.

Issue Timeline and Opening Details

The Rights Issue is proposed to open on August 31, 2026, and will close on September 16, 2026. The last date for market renunciation will be September 10, 2026. The company has made necessary arrangements for the credit of Rights Entitlements in dematerialized form via NSDL and CDSL prior to the issue opening date.

Furthermore, the Board has approved the Letter of Offer and other related documents, including the Abridged Letter of Offer (ALOF), Rights Entitlement Letter (REL), and Composite Application Form (CAF), for filing with the relevant authorities.
