Kesar Enterprises Limited convened its 91st Annual General Meeting (AGM) on Thursday, August 20, 2026, at 3:00 p.m. The meeting was conducted through Video Conferencing (VC) / Other Audio-Visual Means (OAVM) in compliance with circulars issued by the Ministry of Corporate Affairs and SEBI. The Chairman & Managing Director, Shri Harsh R Kilachand, chaired the meeting, confirming the presence of the requisite quorum.

Key Resolutions Approved

During the AGM, several crucial resolutions were presented and approved by the members. These included:

  • Adoption of the audited Balance Sheet as at March 31, 2026, and the Statement of Profit & Loss for the period ended on that date, along with the Reports of the Board of Directors and Auditors.
  • Re-appointment of Shri Devendra J Shah as Director, who retired by rotation and was eligible for re-appointment.
  • Ratification of remuneration to Shri Rishi Mohan Bansal, the Company’s Cost Auditor for the Financial Year 2026-27.
  • Approval of Material Related Party Transactions with Kesar Terminals & Infrastructure Limited.

Meeting Conduct and Voting

All directors of the Company attended the meeting virtually. The company provided a remote e-voting facility, and an opportunity for members to cast their votes electronically was available during the meeting and for 30 minutes post-conclusion. The Statutory Auditors’ Report for Financial Year 2025-26 carried no qualifications. The Secretarial Audit Report for the same period included certain observations, which were discussed along with explanations from the Directors’ Report. The meeting concluded at 4:08 p.m.
