Deutsche Bank: Releases 98.4M Piramal Pharma Shares from Pledge

Deutsche Bank AG, acting as the onshore security agent, has released 98,400,000 equity shares of Piramal Pharma Limited from a pledge. This release represents 7.39% of the total issued and paid-up share capital. Following this action, Deutsche Bank continues to hold a pledge over 140,263,700 equity shares, accounting for approximately 10.54% of the company’s share capital.

Pledge Release on Piramal Pharma Shares

Deutsche Bank AG, Mumbai Branch, in its capacity as the onshore security agent, has announced the release of a significant portion of pledged shares related to Piramal Pharma Limited. This action is part of a ‘Permitted Sale Transaction’ agreed upon under a facility agreement.

Specifically, 98,400,000 equity shares of Piramal Pharma Limited have been released from the pledge. These released shares constitute 7.39% of the total issued and paid-up share capital on a fully diluted basis and 7.43% of the total voting capital of Piramal Pharma Limited. These are now referred to as “Released Shares.”

Continued Encumbrance Details

Post-release, Deutsche Bank AG, Mumbai Branch, continues to hold a pledge over 140,263,700 equity shares of Piramal Pharma Limited. These remaining pledged shares represent 10.54% of the total issued and paid-up share capital on a fully diluted basis and 10.59% of the total voting capital. These are identified as “Pledged Shares.”

The disclosure clarifies that Deutsche Bank AG does not hold any beneficial interest in the Pledged Shares, acting solely in its capacity as a pledgee.

Transaction Context

This disclosure is made in accordance with Regulation 29(2) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. It serves as an update to a previous disclosure made on 30 May 2024. The release of encumbrance over shares is treated as a disposal under the Takeover Code.

The date of this transaction, i.e., the release of encumbrance, is noted as 13 August 2026.
