This release follows the full redemption and repayment of Non-Convertible Debentures issued by API Holdings Limited, the ultimate holding company. Consequently, Docon Technologies’ entire shareholding in Thyrocare is now free from any pledge or encumbrance.
Promoter’s Share Pledge Fully Released
Thyrocare Technologies Limited has officially communicated that its promoter, Docon Technologies Private Limited, has successfully released its pledge over 7,94,69,696 equity shares of Thyrocare. This significant development occurred on August 17, 2026.
Debt Repayment as Catalyst
The release of the pledge is a direct consequence of the full redemption and repayment of Non-Convertible Debentures (NCDs) amounting to INR 10,500 million, issued by API Holdings Limited, the ultimate holding company of Thyrocare. API Holdings Limited has confirmed that it no longer has any outstanding debt under these specific NCDs.
Unencumbered Shareholding
Following the repayment of the NCDs, Docon Technologies Private Limited has confirmed that its entire shareholding in Thyrocare Technologies Limited is now free from pledge. As of August 17, 2026, Docon continues to hold 8,12,00,000 equity shares, representing 51.02% of Thyrocare’s total share capital, with no shares remaining encumbered.
Regulatory Disclosures Submitted
In connection with this event, Docon Technologies Private Limited has submitted the requisite disclosures as per Regulations 29(2), 31(2), and 31(3) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. These disclosures confirm the release of the pledge and the current unencumbered status of the promoter’s shareholding.
