Spenta International: Q1 FY27 Unaudited Results Approved, Key Director Appointments Made

Spenta International Limited has announced the outcome of its Board Meeting held on August 14, 2026. The Board approved the unaudited financial results for the quarter ended June 30, 2026, along with the Directors’ Report for FY 2025-2026. Significant decisions also included the re-appointment of Mr. Danny Firoze Hansotia as Managing Director and Mr. Dilip Ramdas Pawar as Non-Executive Independent Director, alongside the appointment of Mrs. Payal Bohra as Company Secretary and Mr. Anil Krushnadas Parekh as Additional Director.

Board Meeting Approves Q1 FY27 Financials and Director Changes

Spenta International Limited convened its Board of Directors meeting on August 14, 2026, where several key corporate actions were considered and approved. The meeting resulted in the approval of the company’s standalone un-audited financial results for the quarter ended June 30, 2026, accompanied by a Limited Review Report. These results will be presented in “Annexure A” as per SEBI regulations.

Key Director Re-appointments and Appointments

The Board also approved the Directors’ Report for the financial year ended 2025-2026. In a significant move for leadership and governance, the re-appointment of Mr. Danny Firoze Hansotia (DIN: 00203497) as the Managing Director for a term of three years, effective from December 1, 2026, to November 30, 2029, was approved. Additionally, the re-appointment of Mr. Dilip Ramdas Pawar (DIN: 09279715) as a Non-Executive Independent Director for a second term of five consecutive years, from August 13, 2026, to August 12, 2031, received Board approval. This disclosure is detailed in “Annexure C”.

The company also approved the appointment of Mrs. Payal Bohra as Company Secretary and Compliance Officer, effective August 17, 2026, as per “Annexure D”. Furthermore, Mr. Anil Krushnadas Parekh was appointed as an Additional Director in the capacity of Executive Director, effective August 14, 2026, with this disclosure found in “Annexure E”.

AGM Preparations and Shareholder Information

In preparation for the Annual General Meeting (AGM), the Board approved convening the 39th AGM for the financial year ended March 31, 2026, via Video Conferencing or Other Audio-Visual Means. The 39th Annual Report, including the AGM notice, was also approved. The company will also close its Register of Members and Share Transfer Books for the AGM purpose and has approved a cut-off date for shareholders to cast their votes electronically. The appointment of Mr. Hemant Shetye and Mr. Kunal Sakpal as scrutinizers for the e-voting process was also confirmed.

Financial Highlights

The unaudited standalone financial results for the quarter ended June 30, 2026, show a net loss of ₹82.22 Lakhs, compared to a net loss of ₹115.52 Lakhs in the previous quarter (March 31, 2026) and a profit of ₹3.09 Lakhs in the same quarter of the previous year (June 30, 2025). The basic and diluted earnings per share for the quarter stood at ₹(2.97).
