At its meeting held on August 14, 2026, the Board of Directors of Schneider Electric Infrastructure Limited approved several significant corporate actions. Foremost among these was the sanctioning of the company’s unaudited financial results for the first quarter of the fiscal year, which concluded on June 30, 2026. Accompanying these results is an Independent Auditor’s Limited Review Report, which carried an unmodified opinion.

Leadership and Audit Changes

In a move related to the company’s internal audit function, the Board accepted the resignation of Mr. Vinay Kumar Awasthi as Internal Auditor, effective August 14, 2026, due to a role change within the Group. Subsequently, Mr. Devendra Kumar Sharma was appointed as the new Internal Auditor for the financial year 2026-27.

The Board also approved the appointment of Mr. Soumya Bagchi as a Whole-Time Director for a period of three years, subject to shareholder approval. Further strengthening the board, Ms. Nirupa Chander was appointed as a Non-Executive Non-Independent Director, also pending shareholder consent.

AGM Notice Revised

Committee Recommendations

All the aforementioned matters received positive recommendations from the Audit Committee and the Nomination and Remuneration Committee, which held their respective meetings earlier on the same day.
