This approval, following earlier disclosures and a petition filed by MTSL, marks a significant step. Upon completion, MTSL and its subsidiaries will become wholly-owned subsidiaries of the parent company.
NCLT Approves MTSL Share Capital Reduction
Samvardhana Motherson International Limited has received approval from the Hon’ble National Company Law Tribunal (NCLT), Mumbai Bench, for the reduction of share capital of its subsidiary, Motherson Technology Services Limited (MTSL). This development follows previous disclosures made by the company regarding MTSL undertaking the process for share capital reduction pursuant to Section 66 of the Companies Act, 2013.
Impact on Subsidiary Ownership
The matter was listed for pronouncement on August 13, 2026, and the NCLT has now granted its approval. A detailed order from the Hon’ble NCLT will be disseminated upon its availability. Upon the certified copy of the order being received and necessary compliances being undertaken, the reduction of capital will become effective. As a direct consequence, MTSL, along with its subsidiaries, will transition to becoming wholly-owned subsidiaries of Samvardhana Motherson International Limited.
