Go Digit General Insurance: NCLT Allows First Motion Application for Amalgamation

Go Digit General Insurance Limited has received a significant procedural update regarding its proposed amalgamation with Go Digit Infoworks Services Private Limited. The Hon’ble National Company Law Tribunal (NCLT), Mumbai Bench, has allowed the first motion application (CA(CAA)-125/MB/2026). This allows the company to proceed with convening a meeting of its equity shareholders within 90 days to consider and approve the scheme, subject to further statutory and regulatory approvals, including from IRDAI and shareholders.

Go Digit General Insurance Limited announced on 14th August 2026 that the National Company Law Tribunal (NCLT), Mumbai Bench, has allowed the first motion application (CA(CAA)-125/MB/2026) for the proposed Scheme of Amalgamation. This significant order, dated 13th August 2026, permits the company to move forward with the next stages of the amalgamation process.

Next Steps for Shareholder Approval

As per the NCLT’s directions, Go Digit General Insurance Limited is now required to convene a meeting of its equity shareholders within 90 days of the order being uploaded on the NCLT website. The purpose of this meeting is to consider and, if deemed fit, approve the Scheme of Amalgamation with Go Digit Infoworks Services Private Limited. The NCLT has also provided specific directions for issuing notices to shareholders regarding this meeting.

Scheme Details and Regulatory Oversight

The Scheme of Amalgamation involves Go Digit Infoworks Services Private Limited (Transferor Company) merging with Go Digit General Insurance Limited (Transferee Company). This process is being undertaken under Sections 230 to 232 of the Companies Act, 2013. The amalgamation is subject to various statutory and regulatory approvals, including crucial clearances from the Insurance Regulatory and Development Authority of India (IRDAI) and the approval of the respective shareholders of both companies.
