Nazara Technologies Limited has disclosed that its wholly-owned subsidiary, Paper Boat Apps Private Limited, has entered into a loan agreement with its own subsidiary, Kiddopia Inc. The unsecured loan, up to ₹7.50 Crores (approximately USD 8,00,000), will be utilized for business and general corporate purposes. The transaction is conducted on an arm’s length basis and falls under related party transactions, but is exempted under specific regulations.

Unsecured Loan Agreement for Subsidiary

Nazara Technologies Limited announced on August 13, 2026, that its wholly-owned subsidiary, Paper Boat Apps Private Limited (the Lender), has entered into a loan agreement with another wholly-owned subsidiary, Kiddopia Inc. (the Borrower).

Loan Details and Purpose

The agreement provides for an unsecured loan of an aggregate amount not exceeding ₹7.50 Crores, equivalent to approximately USD 8,00,000. This loan may be disbursed in one or more tranches. The funds are intended for various business and general corporate purposes, including working capital requirements, and will be subject to compliance with all applicable laws.

Related Party Transaction

This transaction is classified as a Related Party Transaction as it involves entities within the Nazara Technologies group. Specifically, Paper Boat Apps is a wholly-owned subsidiary of Nazara Technologies, and Kiddopia Inc. is a wholly-owned subsidiary of Paper Boat Apps. However, the transaction is deemed to be on an arm’s length basis and is exempted under Regulation 23(5)(c) of the Listing Regulations.

Security and Outstanding Amount

No security has been provided to the lender for this loan. As of the disclosure date, the outstanding amount of this loan is ₹82.00 Crores.
