Balu Forge: Board Approves $60M FCCB Issue and ₹1000 Crore Borrowing Limit

Balu Forge Industries Limited’s Board of Directors, in its meeting on August 12, 2026, approved the issuance of Foreign Currency Convertible Bonds (FCCBs) for an aggregate amount of up to USD 60 million on a private placement basis. The board also approved an increase in the company’s overall borrowing limits to ₹1,000 crore, subject to shareholder approval. Financial results for the quarter ended June 30, 2026, were also reviewed.

Balu Forge Board Approves Key Financial Decisions

In a significant move to bolster its financial capabilities and fuel growth, the Board of Directors of Balu Forge Industries Limited, during their meeting held on Wednesday, August 12, 2026, greenlit several pivotal financial initiatives. These decisions are set to reshape the company’s capital structure and expand its operational capacity.

Raising Funds Through FCCBs

A primary highlight of the board’s deliberations was the approval for raising funds through the issuance of Foreign Currency Convertible Bonds (FCCBs). This private placement offering is targeted to raise an aggregate amount of up to USD 60 million. The move is conditional upon securing necessary shareholder approvals and other regulatory compliances.

Increased Borrowing Powers

Furthermore, the Board sanctioned an increase in the company’s overall borrowing limits. Under Section 180(1)(c) of the Companies Act, 2013, the borrowing limit has been enhanced to ₹1,000 crore. This decision also requires a special resolution from the shareholders during an Extraordinary General Meeting (EGM).

To secure these borrowings, the company is also empowered to create mortgages, charges, and other security interests on its movable and immovable properties, both present and future. This is in respect of borrowings up to ₹1,000 crore, including existing ones, as per Section 180(1)(a) of the Companies Act, 2013, subject to board determination and shareholder approval via a special resolution at the EGM.

Financial Results Reviewed

The Board also reviewed and approved the Unaudited Standalone and Consolidated Financial Results for the quarter ended June 30, 2026. These results were recommended by the Audit Committee and were accompanied by Limited Review Reports from the Statutory Auditors.

Extraordinary General Meeting Scheduled

To seek shareholder approval for the aforementioned matters, an Extraordinary General Meeting (EGM) has been convened for Friday, September 04, 2026. The notice for the EGM will detail the specific resolutions to be presented.
