Sudarshan Chemical Industries: Board Approves Acquisition of 70.26% Stake in Subsidiary

Sudarshan Chemical Industries Limited announced that its Board of Directors has approved, in-principle, the acquisition of 1,62,16,847 Equity Shares, representing 70.26% of the total shareholding, in its step-down subsidiary, Sudarshan Colorants India Limited. This strategic move aims to achieve internal restructuring of shareholding within the group. The acquisition, valued at approximately ₹10.00/- per share, will result in the Target Company’s shareholding being directly held by the parent company. The board also approved the unaudited financial results for the quarter ended June 30, 2026.

Sudarshan Chemical Industries Approves Key Acquisition and Financial Results

The Board of Directors of Sudarshan Chemical Industries Limited convened on Wednesday, 12th August, 2026, to discuss and approve key business matters. The meeting resulted in the approval of the unaudited financial results for the quarter ended June 30, 2026, along with the Limited Review Report. These results will be uploaded on the company’s website and published in newspapers.

Strategic Internal Restructuring

A significant decision made by the board was the in-principle approval for the acquisition of 1,62,16,847 Equity Shares, equivalent to 70.26% of the total shareholding in Sudarshan Colorants India Limited (formerly Heubach Colorants India Limited). This entity is a step-down subsidiary of Sudarshan Chemical Industries. The shares are currently held by Sudarshan Europe B.V., Sudarshan Switzerland HLD1 AG, and Sudarshan Switzerland HLD2 AG, all wholly-owned subsidiaries. The primary objective of this acquisition is to facilitate an internal restructuring of shareholding within the group, ensuring that the Target Company’s shareholding is directly managed by the parent company. The transaction is valued at approximately ₹10.00/- per share.

The company has also constituted a Committee of Directors to oversee the approval process for this acquisition, ensuring compliance with all applicable regulations. This transaction is not expected to have any impact on the control or business operations of the Target Company.

Financial Performance for Q1 FY27

For the quarter ended June 30, 2026, Sudarshan Chemical Industries reported total income of ₹703.2 crore. The profit before exceptional items and tax stood at ₹74.1 crore, with the profit for the quarter after tax amounting to ₹57.8 crore. Total comprehensive income for the period was ₹56.6 crore.

Consolidated Financial Highlights

On a consolidated basis, for the same quarter, the Group reported total income of ₹2,661.1 crore. Profit before tax was ₹157.4 crore, and profit after tax for the quarter was ₹103.4 crore. Total comprehensive income for the Group reached ₹115.5 crore.

Trading Window Update

The trading window for dealing in the securities of the Company will reopen on Saturday, 15th August, 2026, forty-eight hours after the declaration of the unaudited financial results.
