The NCDs are to be issued in dematerialized form with a face value of ₹1,00,000/- each and will be offered on a private placement basis to eligible investors. This strategic move is designed to strengthen the company’s financial position and support its expansion plans.
Key Terms of the NCD Issuance
The total number of securities proposed to be issued is 75,000 NCDs, with an aggregate value of up to ₹750 Crore. The issue includes a base issue of ₹250,00,00,000 and a green shoe option to retain oversubscription up to ₹500,00,00,000. The NCDs are proposed to be listed on BSE Limited. The debentures will be secured by a first-ranking pari passu charge on hypothecated properties, ensuring adequate security cover until the redemption date. Delay in Payment Provisions
In the event of any delay in the payment of interest or principal amount for a period exceeding three months from the due date, the company shall pay coupon on the NCDs at a rate of 2% (two percent) over and above the applicable coupon rate. This additional interest will be payable until such event of default is cured to the satisfaction of the Debenture Trustee, acting on the instructions of the Debenture-holders.
