The Board of Directors, following a recommendation from the Nomination and Remuneration Committee and the Audit Committee, has approved the appointment of Mr. Kapil Kriplani as the new Chief Financial Officer and Key Managerial Personnel. This appointment is effective from August 11, 2026, and Mr. Kriplani will assume the role of Group Chief Financial Officer (KP Group).

New CFO’s Extensive Experience

Mr. Kapil Kriplani brings over 21 years of post-qualification experience in corporate finance, treasury, taxation, capital markets, strategic transactions, financial structuring, and business transformation. He has held senior leadership positions at prominent organizations such as Glenmark Pharmaceuticals Limited, Bhartiya International Limited, Reliance Capital Limited, ACME Solar Energy Private Limited, and Vedanta Resources PLC. Most recently, he served as Senior Vice President – Finance & Global Head Treasury and Taxation at Glenmark Pharmaceuticals Limited. He is a Chartered Accountant (CA), Chartered Financial Analyst (CFA), and holds a Bachelor of Commerce degree.

Record of Previous CFO’s Resignation

In a related development, the Board has taken on record the resignation of Mr. Salim Yahoo from the position of Chief Financial Officer and Key Managerial Personnel. Mr. Yahoo’s resignation is effective as per his letter dated August 11, 2026. He will be relieved from his duties in due course, with the exact cessation date to be intimated accordingly. The company has committed to ensuring a smooth transition of responsibilities.

Auditor Appointment and Financial Results

The Board also approved the appointment of MSKC & Associates LLP, Chartered Accountants, as the Statutory Auditors of the Company for a term of five years, commencing from the conclusion of the 18th AGM until the 23rd AGM (expected in 2031). This appointment is subject to member approval. Additionally, the company submitted its Unaudited Standalone and Consolidated Financial Results for the quarter ended June 30, 2026.
