Cessation of Independent Directors
The Board noted the cessation of Mr. Ashwani Windlass (DIN: 00042687) and Ms. Neena Gupta (DIN: 02530640) as Independent Directors. This transition is effective from the close of business hours on August 30, 2026, and September 16, 2026, respectively, due to the completion of their second terms. The Board expressed its deep appreciation for their valuable contributions and guidance during their tenure.
Appointment of New Independent Director
In line with the recommendations of the Nomination and Remuneration Committee, Mr. Anil Berera (DIN: 00306485) has been appointed as an Independent Director. This appointment is for a term of 5 years, commencing from August 31, 2026, and concluding on August 30, 2031, subject to member approval. Mr. Berera brings extensive experience in corporate leadership, strategy, and governance.
Internal Auditor and Company Secretary Designate Appointed
Further, the Board approved the appointment of Mr. Rajmeet Singh as the Internal Auditor of the Company, effective August 10, 2026. Mr. Singh is a Chartered Accountant with over 20 years of experience in audit and governance functions. Additionally, Ms. Nilufer Shekhawat has been appointed as Company Secretary Designate, with her tenure commencing on September 1, 2026. Ms. Shekhawat is a qualified Company Secretary with 17 years of experience in corporate governance and compliance.
