The confirmation pertains to two primary preferential issues:
- Fully Convertible Warrants issued with objects stated in the Explanatory Statement to the Notice dated July 13, 2024 (and subsequent corrigendum).
- Fully Convertible Warrants and Equity Shares issued with objects detailed in the Explanatory Statement to the Postal Ballot Notice dated July 10, 2025 (and subsequent corrigendum).
Warrant Conversion Status
The company also confirmed that during the quarter ended June 30, 2026, the conversion of Fully Convertible Warrants allotted under the first preferential issue was completed. Out of the total 48,08,02,500 Warrants allotted, 43,58,82,572 Warrants were successfully converted into equity shares. The remaining 4,49,19,928 Warrants lapsed upon expiry of their tenure. PC Jeweller has stated that it fully utilized the entire proceeds received from this issue.

Financial Overview (Q1 FY26-27)
The preferential issue, dated April 10, 2026, raised an amount of ₹447.60 crore. For the quarter ended June 30, 2026, the company utilized ₹522.93 crore. This utilization includes ₹75.33 crore that was unutilized in the Monitoring Account at the beginning of the quarter. Consequently, the company has fully utilized the entire proceeds received from this issue during the quarter. No funds were raised or utilized under the preferential issue approved on August 10, 2025, during this quarter, with a nominal ₹0.01 crore remaining unutilized.
