JMJ Fin: Board Approves ₹1.6 Crore Equity Issue and ₹2 Crore NCDs

JMJ Fintech Limited’s Board of Directors has approved a preferential issue of up to 16,00,000 equity shares, aggregating up to ₹1.6 crore. Additionally, the company sanctioned the issuance of Secured, Unlisted, Non-Convertible Debentures (NCDs) aggregating up to ₹2.00 crore (Rupees Two Crores only) on a private placement basis. The board also approved the unaudited financial results for the quarter ended June 30, 2026.

JMJ Fintech Board Approves Key Financing Initiatives

The Board of Directors of JMJ Fintech Limited met on August 10, 2026, to consider and approve several significant financial and operational matters. The key approvals included a proposal for a preferential issue of equity shares and the issuance of Non-Convertible Debentures (NCDs), along with the company’s unaudited financial results for the quarter ended June 30, 2026.

Preferential Issue of Equity Shares

The Board has approved a proposal to create, offer, issue, and allot up to 16,00,000 (Sixteen Lakhs) Equity Shares. These shares will have a face value of ₹10/- each and will be offered on a preferential basis. The total value of this issue is estimated to be up to ₹1.6 crore, subject to regulatory approvals and determined in accordance with SEBI (ICDR) Regulations, 2018, based on a valuation report from a Registered Valuer.

Issuance of Non-Convertible Debentures

In a move to strengthen its capital structure, the company has also approved the issuance of Secured, Unlisted, Redeemable Non-Convertible Debentures (NCDs). The aggregate value of this issuance is up to ₹2,00,00,000/- (Rupees Two Crores only). These NCDs will be issued on a private placement basis, and the terms and conditions, including the draft Private Placement Offer Letter (Form PAS-4), have been approved.

Unaudited Financial Results Approved

The Board reviewed and approved the Unaudited Financial Results (Standalone and Consolidated) of the Company for the quarter ended June 30, 2026. These results were also reviewed and recommended by the Audit Committee. A Limited Review Report issued by the Statutory Auditors of the Company has been enclosed with the results.

Other Key Decisions

Additionally, the Board approved the appointment of CA S Dehaleesan as an IBBI Registered Valuer for the proposed preferential issue. They also approved the constitution of a Building Construction Committee and authorized banking operations with Axis Bank. A proposal for Treasury Investment in Chit Funds (Kuries) was also approved.
