Background of Encumbrances

The encumbrances were initially disclosed in a previous filing dated January 1, 2026. They were established as part of a facility agreement totaling up to US$ 80,000,000. These arrangements included a negative lien on Vedanta Limited (VEDL) shares held by certain subsidiaries of Vedanta Resources Limited (VRL), restrictions on creating further encumbrances, and a requirement for VRL Group to maintain at least 50.1% ownership of VEDL’s equity share capital.

Details of the Release

Following the complete repayment of the facilities by the borrower, all encumbrances created under the said facility agreement have been fully released. This release is effective as of August 5, 2026. The nature of these encumbrances was such that they likely fell within the definition of ‘encumbrance’ as per Chapter V of the Takeover Regulations.

Demerged Entities

In a related development, following a scheme of arrangement, four demerged entities of VEDL – Vedanta Aluminium Metal Limited, Vedanta Oil and Gas Limited, Vedanta Power Limited, and Vedanta Iron and Steel Limited – were listed and commenced trading on June 15, 2026. Any encumbrances subsisting over the equity shares of these demerged entities under the facility agreement have also been fully released with effect from August 5, 2026.
