JSW Infrastructure: Approves 3.95 Lakh Stock Options Under ESOP Plan

JSW Infrastructure Limited announced today the approval of granting 3,95,159 stock options to its eligible employees under the ‘Shri O.P. Jindal Employee Stock Ownership Plan (JSWIL) – 2026’. The Compensation Committee of the Board of Directors sanctioned this grant on August 7, 2026, as part of the company’s employee incentive program designed to align employee interests with shareholder value. The plan adheres to SEBI regulations.

JSW Infrastructure Limited has officially approved the grant of 3,95,159 stock options to its eligible employees. This decision was made by the Compensation Committee of the Board of Directors during their meeting held on August 7, 2026. The options are being issued under the ‘Shri O.P. Jindal Employee Stock Ownership Plan (JSWIL) – 2026’, often referred to as the ‘OPJ ESOP Plan 2026’.

ESOP Plan Details and Compliance

The total number of options granted translates to Three Lakhs Ninety-Five Thousand One Hundred and Fifty-Nine options. This initiative is designed to incentivize and retain key employees by offering them a stake in the company’s growth. The company has confirmed that the OPJ ESOP Plan 2026 is fully compliant with the Securities and Exchange Board of India (SEBI) (Share Based Employee Benefits and Sweat Equity) Regulations, 2021.

Each option represents the right to acquire one equity share of face value Rs. 2/-. The exercise price for these options has been set at Rs. 2/- per option. The vesting period for these granted options is stipulated to be not earlier than 1 year and not later than 3 years from the date of grant. Once vested, employees can exercise their options within 4 years from the grant date, subject to payment of the exercise price and applicable taxes.

Administration and Oversight

The administration and supervision of the OPJ ESOP Plan 2026 have been entrusted to the Compensation Committee of the Board of Directors. This ensures proper governance and adherence to the plan’s terms and conditions.
