LTD. This investment will be executed through the subscription of 219,200 ordinary shares, each with a nominal value of €1.

Loan Facility for Associate Company

Following this investment, IXIGO PTE. LTD., on August 06, 2026, approved the grant of an optionally convertible loan amounting to €219,200 to Squad As Service, S.L. (Sqaas), an associate company based in Spain. This loan is structured under the terms of a Convertible Loan Agreement between IXIGO PTE and Sqaas, contingent upon obtaining necessary regulatory and corporate approvals.

Loan Conversion and Disclosure

The terms of the agreement stipulate that the optionally convertible loan may be converted into equity securities of Sqaas at a later date. As of the announcement date, no conversion has occurred, and no equity securities have been issued or allotted, thus maintaining the existing shareholding and control structure of Sqaas. The company clarified that this transaction does not constitute an acquisition of shares or voting rights in Sqaas.
