Max Healthcare Institute Limited successfully conducted its 25th Annual General Meeting (AGM) on July 30, 2026. The meeting was held virtually through video conference, with 160 members in attendance. The proceedings confirmed the active participation of shareholders and management in discussing the company’s performance and future strategies.

Key Resolutions Adopted

During the AGM, shareholders voted on and approved several critical resolutions. These included:

  • Adoption of Audited Financial Statements: The audited standalone and consolidated financial statements for the financial year ended March 31, 2026, along with the reports of the Board of Directors and auditors, were received, considered, and adopted.
  • Final Dividend Declaration: A final dividend of ₹2 per equity share (representing 20% of the face value of ₹10) was declared, payable to members on record as of July 3, 2026.
  • Director Re-appointments: Special resolutions were passed for the re-appointment of Mr Anil Kumar Bhatnagar as a Director, liable to retire by rotation.
  • Remuneration Approval: The remuneration payable to Non-Executive Directors and Cost Auditors for the financial year 2026-27 was approved.

Shifting of Registered Office Approved

A significant resolution passed was the approval for shifting the company’s registered office from the State of Maharashtra to the State of Haryana. This move also necessitates an alteration in the Memorandum of Association, which was duly approved by the members, subject to necessary regulatory approvals.

Chairman’s Address and Shareholder Engagement

The Chairman, Mr Abhay Soi, addressed the members, highlighting the company’s strong operational and financial performance in FY 2025-26. He emphasized the company’s commitment to disciplined execution, capacity expansion, clinical excellence, and patient-centric care. The Chairman also discussed expansion plans, including new hospital towers and strategic acquisitions, aiming to nearly double bed capacity over the next five years. He also detailed investments in advanced medical technologies and digital platforms. Shareholders actively participated by asking questions and offering suggestions on various aspects of the company’s performance, strategy, and operations.

Voting Results

The consolidated results of remote e-voting and e-voting at the AGM, declared on July 30, 2026, indicated that all Ordinary and Special resolutions were passed by the members with the requisite majority.
