Premier Energies: Board Approves Q1 FY27 Results, ₹5,000 Crore Fundraising

Premier Energies Limited’s Board of Directors has approved the unaudited financial results for the quarter ended June 30, 2026. The company also announced plans to raise capital aggregating up to ₹5,000 crore through the issuance of equity shares, non-convertible debentures, or other eligible securities. The board also approved the re-appointment of key management personnel and the reconstitution of the Risk Management Committee.

Premier Energies Board Approves Financial Results and Capital Raise

Premier Energies Limited announced that its Board of Directors, during a meeting held on August 06, 2026, has approved the unaudited financial results for the quarter ended June 30, 2026. The company also disclosed its intention to raise substantial capital, approving a proposal to raise an aggregate amount not exceeding ₹5,000 Crores (Rupees Five Thousand Crores Only). This fundraising can be achieved through the issuance of equity shares, non-convertible debentures along with warrants, or any other eligible securities convertible into Equity Shares, or a combination thereof. The proposed modes include Qualified Institutional Placement (QIP) or other permissible methods, subject to necessary regulatory and statutory approvals.

Key Re-appointments and Committee Changes

In addition to the financial and fundraising approvals, the Board confirmed several other significant decisions. The re-appointment of Mr. Surenderpal Singh Saluja as Chairman and Whole-time Director was approved for a five-year term from December 19, 2026, to December 18, 2031. Similarly, Mr. Chiranjeev Singh Saluja was re-appointed as Managing Director for a like five-year term from December 19, 2026, to December 18, 2031. The company also appointed M/s. S.S. Zanwar & Associates as Cost Auditors for the financial year ending March 31, 2027. Furthermore, the Risk Management Committee of the Board of Directors has been reconstituted, with Mr. Nishith Hasmukh Mehta appointed as the new Chairman, effective August 06, 2026.

Annual General Meeting Details

The Board also approved the notice for the 31st Annual General Meeting (AGM) of the Company, scheduled for Monday, September 21, 2026, at 11:30 AM IST. The AGM will be conducted via Video Conferencing (VC) or Other Audio-Visual Means (OAVM). Key agenda items at the AGM will include the approval of audited standalone and consolidated financial statements for the year ended March 31, 2026, and the aforementioned fund-raising proposal.
