BIKAJI FOODS INTERNATIONAL LIMITED: Approves Joint Venture and New Subsidiary

Bikaji Foods International Limited has announced significant strategic developments. The Board of Directors has approved entering into a Joint Venture cum Shareholders Agreement with C.G. Savory Corp Private Limited, leading to the incorporation of a new entity in Nepal, C.G. Bikaji Private Limited. Additionally, the company will establish a wholly-owned subsidiary in Abu Dhabi, United Arab Emirates, to enhance its international supply chain operations. The company also approved the grant of 1,00,000 stock options to eligible employees.

Strategic Expansion Initiatives Approved

Bikaji Foods International Limited (BFIL) has made key strategic moves to bolster its global presence and employee incentive programs. At a recent Board of Directors meeting held on August 05, 2026, the company approved several significant proposals aimed at expanding its business operations and retaining talent.

Nepal Joint Venture Formation

A primary highlight of the board meeting was the approval of a Joint Venture cum Shareholders Agreement with C.G. Savory Corp Private Limited, a company incorporated in Nepal. This collaboration will lead to the incorporation of a new entity named C.G. Bikaji Private Limited. BFIL will invest up to ₹15,00,00,000 in this joint venture, which aims to synergize expertise for manufacturing, trading, and marketing of snacks and packaged sweets within Nepal. The joint venture will operate on a 50:50 stake basis, utilizing the brand names “BIKAJI” and “CG”.

International Subsidiary in Abu Dhabi

In a move to strengthen its international supply chain, BFIL also approved the incorporation of a wholly-owned subsidiary in Abu Dhabi, United Arab Emirates. This new entity, to be potentially named “BIKAJI FOODS INTERNATIONAL UAE LIMITED,” will focus on optimizing supply chain operations, particularly in the Middle East region. The investment for this subsidiary is planned up to AED 1,00,00,000.

Employee Stock Option Scheme

Furthermore, the company approved the grant of 1,00,000 stock options to eligible employees under the Bikaji Employees Stock Option Scheme 2021 – Scheme I. These options are priced at ₹500 per stock option and will be vested over three years, with equity shares ranking pari-passu to existing shares upon exercise.
