Buyback Details and Financials
The aggregate amount for the buyback is capped at ₹44,50,00,000 (Rupees Forty-Four Crore Fifty Lakhs), referred to as the “Maximum Buyback Size”. This figure represents 14.87% of the company’s total paid-up share capital and free reserves as of June 30, 2026, which is within the 15% regulatory limit. The buyback price will not exceed ₹750 per Equity Share (the “Maximum Buyback Price”). The buyback will be executed via the open market route through the stock exchanges where TIPS MUSIC LIMITED’s shares are listed.
The company will utilize at least 75% of the earmarked amount, totaling ₹33,37,50,000 (Minimum Buyback Size). Based on this minimum size and the maximum price, the company expects to purchase at least 4,45,000 Equity Shares.
Exclusions and Approvals
The buyback is specifically intended for equity shareholders other than promoters, the promoter group, and persons in control of the Company, in line with SEBI Buyback Regulations. A Buyback Committee has been formed and delegated the necessary powers to oversee the process.
