SAMHI Hotels: Approves ₹750 Crore Fundraising and Acquisition

SAMHI Hotels Limited’s Board of Directors has approved several key strategic initiatives. These include an enabling resolution for raising funds up to INR 750 crore through various modes, such as equity shares and convertible securities. Additionally, the company has approved the acquisition of 100% equity share capital of Itmenaan Lodges Private Limited for an aggregate cash consideration of INR 12 crore, marking a move to expand its hospitality portfolio.

Strategic Growth Initiatives Approved

SAMHI Hotels Limited has announced significant board approvals aimed at bolstering its growth and financial strength. During its meeting on August 3, 2026, the Board of Directors sanctioned a substantial fundraising plan and a strategic acquisition. These moves are designed to capitalize on emerging opportunities and strengthen the company’s market position.

Major Fundraising and Capital Raise

The Board has approved an enabling resolution to raise funds aggregating up to INR 750,00,00,000/- (Indian Rupees Seven Hundred Fifty Crores). This capital infusion can be achieved through multiple avenues, including the issuance of equity shares (with or without warrants), fully convertible debentures, convertible preference shares, or any combination thereof. The fundraising will be executed through permissible modes such as private placement, qualified institutions placement, or preferential issue, subject to regulatory and shareholder approvals.

Acquisition of Itmenaan Lodges Private Limited

In a strategic move to expand its hospitality offerings, SAMHI Hotels has approved the acquisition of 100% of the issued, subscribed, and paid-up equity share capital of Itmenaan Lodges Private Limited. The transaction involves the purchase of 29,582 equity shares, each with a face value of INR 10/-, for an aggregate cash consideration of INR 12,00,00,000/- (Indian Rupees Twelve Crores). The acquired entity operates the ‘Itmenaan Estate’ hotel in Uttarakhand, enhancing SAMHI’s presence in the boutique luxury hotel segment.

Share Capital Increase

Furthermore, the company’s authorized share capital has been approved for an increase from INR 25,00,00,000/- to INR 29,00,00,000/-, subject to shareholder approval. This adjustment aims to accommodate future growth and capital needs.

Annual General Meeting Scheduled

The Board also approved the holding of the 16th Annual General Meeting (AGM) on Monday, August 31, 2026, along with the convening notice and the Board’s Report for the financial year 2025-26.
