Whirlpool Shareholders Approve Articles of Association Alteration

Whirlpool of India’s shareholders have approved a special resolution for the alteration of the company’s Articles of Association (AOA). The approval was secured via remote e-voting, with the results announced on December 1, 2025. The voting results and Scrutinizer’s Report are available on the company’s website. The resolution was passed with a significant majority, paving the way for the company to implement the proposed changes.

Whirlpool of India Limited announced that its shareholders have approved the special resolution regarding the alteration of the company’s Articles of Association (AOA). The resolution was passed through remote e-voting, and the results were finalized on December 1, 2025.

Voting Results

The e-voting process saw strong participation, with a significant majority of votes cast in favor of the resolution. Detailed results indicate that 64,704,633 votes from the Promoter and Promoter Group were cast in favor, representing 100% of their holdings. Public Institutions also showed strong support, with 47,026,303 votes in favor, accounting for 100% of votes polled from that category. Public Non-Institutions supported the resolution, with 1,172,158 votes in favor, a 99.5565% approval rate.

Previous Clauses to be Omitted

As part of the approved changes, several clauses within the existing Articles of Association are being omitted. This includes Article 4, which details the Financial and Technical Collaboration Agreement and a Technology Assistance Agreement with Whirlpool. Article 4A, related to the acknowledgement of Whirlpool’s exclusive ownership of the trade name, is also omitted. Further, Article 108A, concerning stipulations regarding moneys owing by the Company, and details regarding the Nominee Director will be removed from the Articles.
