This scheme involves Triveni Engineering & Industries Limited (‘TEIL’), Sir Shadi Lal Enterprises Limited (‘SSEL’), and Triveni Power Transmission Limited (‘TPTL’).
Meeting Details
The NCLT has directed that meetings of the Equity Shareholders, Secured Creditors, and Unsecured Creditors of TEIL and SSEL be convened. The details of the meetings are as follows:

- Equity Shareholders: November 30, 2025, at 10:00 a.m.
- Secured Creditors: November 30, 2025, at 1:00 p.m.
- Unsecured Creditors: November 30, 2025, at 3:30 p.m.
Triveni Engineering & Industries Limited (TEIL) Meetings:
- Equity Shareholders: December 7, 2025, at 10:00 a.m.
- Secured Creditors: December 7, 2025, at 1:00 p.m.
- Unsecured Creditors: December 7, 2025, at 3:30 p.m.
Scheme Details
The Composite Scheme of Arrangement involves the amalgamation of Sir Shadi Lal Enterprises Limited (SSEL) into Triveni Engineering & Industries Limited (TEIL) and the demerger of Power Transmission Business (‘PTB’) of TEIL into Triveni Power Transmission Limited (TPTL).
Additional Directives
The requirement to convene a meeting of the Equity Shareholders of TPTL has been dispensed with. TPTL has no Secured and Unsecured Creditors.

Individual notices of the meetings are to be sent by email and, if unavailable, by speed post, registered post, or courier. Due to the shareholder count, this email strategy is considered acceptable.

Fees for the Chairperson, Co-Chairperson, and Scrutinizer are lump sums for all meetings, spanning November 30, 2025, and December 7, 2025.
