Tata Motors has announced significant changes to its Board of Directors and Key Managerial Personnel (KMP), effective September 30, 2025, and October 1, 2025, following the planned demerger of its commercial vehicles business. The changes include cessation and appointment of independent directors, as well as changes to the KMP. Mr. Shailesh Chandra is appointed as Managing Director & CEO.
Board Restructuring Highlights
Tata Motors has formalized key leadership transitions following the demerger of its commercial vehicles business. These changes, approved by the Board, impact independent directors and key management personnel, effective September 30, 2025, and October 1, 2025.
Independent Director Transitions
The following Independent Directors will cease their roles:
- Ms. Hanne Sorensen (DIN:08035439), effective September 30, 2025.
- Mr. Kosaraju Veerayya Chowdary (DIN:08485334), effective October 1, 2025.
- Mr. Guenter Karl Butschek (DIN:07427375), effective October 1, 2025.
Ms. Sudha Krishnan (DIN:02885630) has been appointed as an Additional, Non-Executive Independent Director for a 5-year term beginning October 1, 2025, subject to shareholder approval.
Key Management Personnel Changes
Mr. Girish Wagh (DIN:03119361) will resign as Executive Director and KMP, effective October 1, 2025.
Mr. Shailesh Chandra (DIN: 07593905) will be appointed as an Additional Director, Managing Director & CEO, and KMP of the Company effective October 1, 2025, for a 3-year term, subject to shareholder approval. He will continue to be the Managing Director of Tata Passenger Electric Mobility Limited.
Mr. P B Balaji will resign as Group Chief Financial Officer & KMP, effective November 17, 2025, to become the Chief Executive Officer of Jaguar Land Rover Automotive Plc, UK.
Mr. Dhiman Gupta will be appointed as the Chief Financial Officer & KMP, effective November 17, 2025.
Additional Director Appointment
Mr. P B Balaji (DIN: 02762983) is reappointed as an Additional, Non-Executive, Non-Independent Director on the Board, effective November 17, 2025, subject to shareholder approval.

- INE155A08449 [E-31A (Tranche I)]: ₹500 crore, Redemption Date: March 26, 2027
- INE155A08464 [E-31A (Tranche III)]: ₹800 crore, Redemption Date: March 27, 2028
