Nuvoco Vistas Corporation has officially announced the execution of a Securities Purchase Agreement for the acquisition of 100% ownership of Algebra Endeavour Private Limited. The agreement was signed on November 17, 2025. This move is designed to strengthen the company’s energy infrastructure and support its long-term operational goals.

Rationale for the Acquisition

The primary reason for acquiring Algebra Endeavour is to secure the assets of its holding company, Vadraj Energy (Gujarat) Limited. Vadraj Energy operates power plants in Kutch and Surat. These facilities will be integrated into Nuvoco’s operations to provide captive power, which is expected to optimize energy costs and improve operational efficiencies.

Deal Terms and Financial Details

The acquisition price for 100% of Algebra Endeavour’s securities is valued at up to INR 200 crores. The shareholders include JSW Cement Limited with INR 1,91,63,01,956 and Alpha Alternatives Holdings Private Limited with INR 8,36,98,044. The transaction is structured as a cash consideration and is anticipated to be completed within 10 days following the fulfillment of all necessary conditions.
