ICICI Bank Increases Stake in ICICI Prudential AMC

ICICI Bank has executed an agreement to increase its shareholding in ICICI Prudential Asset Management Company (AMC) by up to 2%. This follows shareholder approval from August 30, 2025, to purchase additional shares from Prudential Corporation Holdings Limited (PCHL). The transaction, valued at ₹21.40 billion, reinforces ICICI Bank’s commitment to its asset management arm.

Increased Investment in ICICI AMC

ICICI Bank announced that it will increase its stake in ICICI Prudential Asset Management Company (AMC) by purchasing an additional 2% shareholding from Prudential Corporation Holdings Limited (PCHL). The share purchase agreement (SPA) was executed on December 8, 2025.

Transaction Details

The transaction is valued at ₹21.40 billion for the acquisition of the 2% stake. This is based on a fair value determined by an independent valuer. The purchase is expected to be completed on or before December 10, 2025. This transaction qualifies as a related party transaction and is being conducted at arm’s length.

ICICI AMC Overview

ICICI AMC manages assets in the mutual fund segment and provides portfolio management services to investors. As of September 30, 2025, ICICI AMC had total assets of ₹48.27 billion. For the first half of FY26 (H1-2026; Apr-Sep), ICICI AMC reported turnover of ₹29.49 billion and profit after tax (PAT) of ₹16.18 billion.

ICICI Bank currently holds 51.0% and PCHL holds 49.0% in ICICI AMC.
