The Board of Directors of HLV Limited has officially approved the unaudited financial results for Q2 (July-September) and half-year ended September 30, 2025. Key highlights from the results include:

- Total expenses for the quarter: ₹4,772 lakhs
- Net loss for the quarter: ₹(992) lakhs
- Total income for the half-year: ₹8,289 lakhs
- Total expenses for the half-year: ₹9,516 lakhs
- Net loss for the half-year: ₹(1,339) lakhs
Management Changes
The Board has accepted the resignation of Ms. Savitri Yadav from the position of Company Secretary and Compliance Officer, effective November 30, 2025.
New Appointment
Ms. Sucheta Chaturvedi has been appointed as the new Company Secretary and Compliance Officer, with her role beginning on December 1, 2025. Ms. Chaturvedi is a qualified Company Secretary with over 7 years of post-qualification experience in Company Secretarial functions.
Auditor’s Observations
The independent auditor’s review report highlights concerns regarding enhancement in rentals, unilateral termination of lease of the Mumbai Hotel, and eviction proceedings which the Company is legally contesting. The disputed amount not provided in the Books for the quarter ended September 30, 2025 is ₹543 lakhs and cumulatively for the period up to September 30, 2025 amounting to ₹16,466 lakhs.
The report also notes the demands made by AAI relating to Rent, Minimum Guarantee Fees amounting to ₹80,705 lakhs up to January 31, 2019, which are disputed and contingent in nature and not provided in the books.
Going Concern Basis
The financial results were prepared on a ‘going concern basis’, assuming the company will get favorable judgements/orders/settlements regarding disputes with AAI and the renewal of lease.
